What factors should a lawyer consider when helping a client set up a business with a social impact mission? What should groups with nonprofit status consider before engaging in for-profit business activities? This presentation will discuss legal structuring options beyond the typical 501(c)3 charitable nonprofit and review emerging legal frameworks for enterprises that contain both nonprofit and for-profit elements. The workshop will highlight the pros and cons of the various hybrid options.

Daniel Irvin is a corporate associate in the San Francisco office of Morrison Foerster. He represents clients on a broad range of transactional and corporate matters, including the formation of emerging companies, venture capital financings, mergers and acquisitions, corporate governance, and strategies for integrating ESG and impact goals into their businesses. He has represented both sellers and buyers in mergers and acquisitions. Daniel has also advised both sponsors of private funds throughout the fund formation process, as well as LPs in their primary and secondary fund investments. Daniel has particular expertise in working with non-profit organizations on a variety of transactions including investments in for-profit entities, hybrid structuring arrangements, and mergers and acquisitions.
